Unsolicited calls - "boiler room" scams
We have been made aware that some shareholders have received unsolicited calls and letters in connection with an alleged rights issue being offered by Smiths Group plc. The Company has not announced a rights issue and has not authorised any material that has been sent to shareholders by a third party.
Over the last year many companies have become aware that their shareholders have received unsolicited phone calls or correspondence concerning investment matters which imply a connection to the company concerned. These are typically from overseas based 'brokers' who target UK shareholders offering to sell them what often turn out to be worthless or high risk shares in US or UK investments. These operations are commonly known as "boiler rooms".
They can be very persistent and extremely persuasive. It is not just the novice investor that has been duped in this way; many of the victims have been successfully investing for several years. Shareholders are advised to be very wary of any unsolicited advice (including subscribing for rights issues and recovering dividends) or offers to buy shares at a discount.
These operators acquire shareholder lists legitimately using data provided in accordance with company law or from other sources. The Companies Act 2006 has introduced greater protection for shareholders with tighter rules on access to company registers, including a new offence of abuse of the register and proposed changes to the requirements for shareholders details to be disclosed. However, it will do little to protect investors whose names and contact details are already in circulation amongst the boiler room operators.
If you receive any unsolicited investment advice of this nature:
- Make sure you get the correct name of the person and organisation and make a record of any other information they give you, e.g. telephone number, address etc.
- Check that they are properly authorised by the FSA before getting involved. You can check at www.fsa.gov.uk/register/home.do .
- The UK FSA has published warning lists of firms that it knows operate in this way. However, remember that this type of firm is likely to change its name frequently, so if you can't find a particular name on these lists that still doesn't mean it's genuine. See its lists of Unauthorised firms/individuals and Unauthorised overseas firms operating in the UK.
- Report the matter to the FSA either by calling 0845 606 1234 or by visiting their online form at: FSA Online Form .
- If the calls persist, hang up.
If you deal with an unauthorised firm, you would not be eligible to receive payment under the Financial Services Compensation Scheme.
